These Terms of Service ("Agreement") govern your use of AutoReivs' services, website, software, and related features (collectively, the "Service"). By accessing or using the Service, you ("Customer") agree to be bound by this Agreement. If you do not agree, you must discontinue use immediately.

If the Customer has entered into a separate written agreement with AutoReivs, that agreement shall govern and supersede these Terms where applicable.

For purposes of this Agreement, "AutoReivs," "we," "us," or "our" refers to AutoReivs Inc., and "Customer," "you," or "your" refers to the individual or entity using the Service.

1. ACCESS AND USE

1.1 License Grant

During the term of this Agreement, AutoReivs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations.

1.2 User Accounts

  • You are responsible for maintaining the security of your login credentials and any actions taken under your account.
  • You must notify AutoReivs immediately of any unauthorized use or security breach.

1.3 Customer Responsibilities

  • You agree not to misuse the Service or use it for unlawful purposes.
  • You must ensure that all users under your account comply with these Terms.

2. RESTRICTIONS

You may not:

  • Reverse-engineer, modify, or distribute the Service.
  • Use the Service to develop a competing product.
  • Introduce malware or disrupt the Service.
  • Access or attempt to access another user's data without permission.
  • Use the Service for illegal or prohibited activities.

AutoReivs reserves the right to suspend or terminate accounts that violate these restrictions.

3. PAYMENT AND SUBSCRIPTION

3.1 Fees and Billing

  • Fees for the Service are stated at the time of subscription and may be subject to change.
  • Payments are due as specified in the subscription agreement.
  • Failure to pay may result in service suspension or termination.

3.2 Refunds

  • Fees are generally non-refundable unless otherwise stated.
  • If you terminate your subscription early, no pro-rata refunds will be issued.

4. PRIVACY AND DATA SECURITY

4.1 Personal Data

AutoReivs will process personal data in accordance with our Privacy Policy.

4.2 Security Measures

  • We implement reasonable security measures to protect your data.
  • However, we do not guarantee absolute security.

5. TERM AND TERMINATION

5.1 Term

This Agreement begins when you first use the Service and remains in effect until terminated by either party.

5.2 Termination by Customer

You may terminate your account by following the procedures outlined in your account settings or by contacting us at support@autoreivs.io.

5.3 Termination by AutoReivs

We may suspend or terminate your access if:

  • You violate these Terms.
  • Your account remains inactive for an extended period.
  • Required by law or legal enforcement.

Upon termination, your access to the Service will be revoked, and data may be deleted in accordance with our Privacy Policy.

6. DISCLAIMERS AND LIMITATIONS

6.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. AUTOREIVS DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • AUTOREIVS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
  • IN NO EVENT SHALL AUTOREIVS' TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM.

7. INDEMNIFICATION

You agree to indemnify and hold harmless AutoReivs from any claims, losses, or damages resulting from:

  • Your misuse of the Service.
  • Violation of these Terms.
  • Any content you submit or actions taken under your account.

8. CHANGES TO TERMS

AutoReivs reserves the right to modify these Terms at any time. Changes take effect upon posting. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

9. GENERAL PROVISIONS

9.1 Governing Law

This Agreement is governed by the laws of Delaware, United States, without regard to conflict of law principles.

9.2 Dispute Resolution

Disputes shall be resolved through arbitration in Delaware, United States, unless prohibited by law.

9.3 Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control (e.g., natural disasters, strikes, internet disruptions).

9.4 Severability

If any provision is found to be unenforceable, the remaining provisions shall remain in effect.

9.5 Entire Agreement

These Terms constitute the entire agreement between you and AutoReivs, superseding any prior agreements.
